(“CEGA®,” “we,” “us,” or “our”). Except as expressly set forth in a separate written agreement signed by CEGA® (including the Terms and Conditions of Sale and any product warranty CEGA® issues in writing), CEGA® does not warrant or guarantee that its products are merchantable or fit for any particular purpose, or free from any claim of foreign or domestic patent infringement by a third party, and there are no warranties, express or implied, to that effect. CEGA® will not be liable for any incidental, consequential, or contingent damages involving the use of its products, and, except as provided in such a separate written agreement, CEGA®’s responsibility is limited to replacement of items ordered. Not all products and services are available in all geographic areas or to all customers. Your eligibility to receive any product or service may be subject to approval by CEGA®. CEGA® reserves the right to discontinue or change specifications, products, services, or models at any time without incurring obligations.

CEGA® may terminate your access to and use of the Website at any time, without prior notice, if it considers that you have violated these Terms of Use or any applicable law or regulation. You agree to indemnify, defend, and hold harmless CEGA® and its officers, directors, managers, members, employees, partners, investors, agents, contractors, licensors, suppliers, and third-party information providers from and against all losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from your violation of these Terms of Use or from CEGA®’s termination of your access for such violation.

15. Governing Law; Jurisdiction; Limitations Period

These Terms of Use are governed by and construed in accordance with the laws of the State of South Dakota, United States of America, without regard to its conflict-of-laws principles. Except where prohibited by applicable law, any legal action concerning these Terms of Use or the Website must be commenced within one (1) year after the claim or cause of action arises or accrues, and must be brought in the state or federal courts located in South Dakota, without prejudice to the right of CEGA® or the Website user to bring suit before a court of competent jurisdiction.

CEGA® may revise these Terms of Use from time to time. The “Last Updated” date above indicates when these Terms were last revised. Material changes will be posted on this page and, where appropriate, otherwise communicated. CEGA®’s failure to insist upon or enforce performance of any provision of these Terms of Use is not a waiver of any provision or right. Neither the course of conduct between the parties nor trade practice will modify any provision herein. CEGA® may assign its rights and duties under these Terms of Use to any party at any time without notice to you. If any provision is held unenforceable, the remaining provisions will remain in full force and effect, and the unenforceable provision will be replaced by an enforceable provision that most closely reflects the intent of the original.

18. Idea Submissions

CEGA® does not wish to receive confidential or proprietary information from you through the Website unless you have a separate written agreement with CEGA® regarding the sharing of such information. CEGA Innovations, Inc. (“CEGA®,” “we,” “us,” or “our”) respects your privacy. This Privacy Policy explains how we collect, use, disclose, and protect personal information when you visit www.cegaco.com (the “Website”), communicate with us, or otherwise interact with us, and describes the rights and choices available to you. This Policy is incorporated into and supplements our Website Terms of Use.

This Policy applies to personal information we process about visitors to the Website, customers and prospective customers (and their personnel), business partners, suppliers, job applicants, and others who interact with CEGA®. It does not apply to information processed by hospitals, health systems, or other customers under their own privacy practices, or to protected health information governed by separate agreements (see Section 12).

Depending on how you interact with us, we may collect the following categories of personal information:

• Identifiers and contact information — name, employer, job title, business address, email address, and telephone number.

• Professional and commercial information — your organization, role, purchasing or evaluation interests, and records of products or services you have requested, obtained, or considered.

• Communications — the content of inquiries, survey responses, support requests, and other correspondence with us.

• Online activity and device information — IP address, browser type, device identifiers, pages viewed, referring URLs, and similar information collected automatically through cookies and related technologies (see Section 5).

• Idea or feedback submissions — information you choose to send us, which is treated as non-confidential as described in our Website Terms of Use.

 

We do not intend to collect sensitive personal information through the Website. Please do not submit health information, government identifiers, or other sensitive data unless we specifically request it under an appropriate agreement.

• Corporate transactions — in connection with a financing, audit, merger, acquisition, reorganization, sale of assets, initial public offering, or similar transaction, information may be disclosed to advisors and counterparties and may be transferred as a business asset, subject to appropriate confidentiality protections.

• With your direction or consent — when you ask us to share information or otherwise consent to its disclosure.

 

We do not “sell” personal information or “share” it for cross-context behavioral advertising as those terms are defined under U.S. state privacy laws. If this changes, we will update this Policy and provide any required opt-out.

7. Data Retention

We retain personal information for as long as necessary to fulfill the purposes described in this Policy, including to provide our products and services, maintain business records, and comply with legal, accounting, audit, and regulatory obligations. When information is no longer needed, we delete or de-identify it. 

8. Data Security

We maintain administrative, technical, and physical safeguards designed to protect personal information against unauthorized access, use, alteration, and disclosure. No method of transmission or storage is completely secure, however, and we cannot guarantee absolute security. You are responsible for safeguarding any credentials used to access non-public areas of the Website.

9. Your Choices

You may opt out of marketing communications at any time using the unsubscribe link in our messages or by emailing info@cegaco.com. You may manage cookies as described in Section 5. You may also exercise the rights described in Sections 10 and 11, where applicable.

10. U.S. State Privacy Rights

Depending on your state of residence (for example, California, and other states with comprehensive privacy laws), you may have the right to: confirm whether we process your personal information and access it; obtain a portable copy; correct inaccuracies; delete personal information; and opt out of any sale, sharing for cross-context behavioral advertising, or targeted advertising, and of certain profiling. You also have the right not to receive discriminatory treatment for exercising these rights.

You may use an authorized agent to submit a request on your behalf, subject to verification. If we decline a request, you may appeal by replying to our response or contacting us at the same address. California residents may also request information under California’s “Shine the Light” law regarding disclosures to third parties for their direct-marketing purposes.

11. EEA, UK, and Swiss Rights (GDPR)

If you are located in the European Economic Area, the United Kingdom, or Switzerland, the following applies. CEGA® is the controller of your personal information for the purposes described in this Policy. We process personal information on the following legal bases: your consent; the performance of a contract with you; our legitimate interests (such as operating and improving our business and the Website, and marketing to business contacts), provided these are not overridden by your rights; and compliance with legal obligations.

Subject to applicable law, you have the right to access, rectify, erase, restrict, or object to the processing of your personal information; the right to data portability; and the right to withdraw consent at any time without affecting prior processing. 12. International Data Transfers; Medical Device Note

CEGA® is based in the United States, and information we collect may be processed in the United States and other countries that may not provide the same level of data protection as your jurisdiction. Where we transfer personal information from the EEA, the United Kingdom, or Switzerland, we rely on appropriate safeguards, such as the European Commission’s Standard Contractual Clauses and the UK International Data Transfer Addendum, where required.

 

CEGA® manufactures medical devices and sells primarily to hospitals and health systems. The Website is not intended to collect protected health information (“PHI”), and we are not acting as a “covered entity” or “business associate” through the Website. Any PHI that CEGA® may handle in connection with its products is governed by separate agreements with the relevant healthcare organizations and applicable law, not by this Policy.

13. Children’s Privacy

The Website is intended for a business and professional audience and is not directed to children. We do not knowingly collect personal information from children. If you believe a child has provided us personal information, please contact us at info@cegaco.com or through the "Contact Us" web form and we will take appropriate steps to delete it.
